A Hot Day in Court Over Progresso Heights Lands

Following this morning’s session, attorney Wilfred Elrington spoke briefly with the media, explaining how that piece of corporate law works.  Secondly, when pressed about his role in the company, Elrington said that he attempted to explain to the directors that they were acting outside of the law and that’s when the legal battle commenced.

“Corporate law is not the easiest thing and many people don’t fully grasp the import of what is being said, you see, and many times people just dismiss it.  But if the articles which govern the company says that only the company in general meeting can appoint auditors, any auditor appointed outside of that provision is acting unlawfully, you see what I mean?  And if a company doesn’t authorize you to sell its land and you engage in the sale of its land, even though you are a director, you are acting unlawfully, without the authority of the company.  What happened when I tried to explain to them that, “Look, you’re not acting properly” because they are working in the United States and I am in Belize.  How can I know what they are doing?  There is absolutely no way of me knowing what they are doing and I am of course busy, engaged with politics and my own business and when I got wind of what was transpiring, I met with them in Miami and I said, “Look, what you’re doing is not correct, it’s not proper.  You can’t be paying out the company’s money just like that and immediately they said we have to get our own attorneys because you’re threatening us.”

“But are you saying that since 2003, my understanding is that it goes back to then, since then they were not having AGMs and wasn’t it their responsibility to inform them that they were not complying?”

“No.  You hear what he said?  He’s dealing with companies in Belize for twenty years and in the United States for twenty-five [years].  The man is a seasoned company man.”
