Is Marconi Leal Junior’s Appointment on B.T.L. Board of Directors a Conflict of Interest?

The contract signed between Net Vasquez and B.T.L. which came into effect back in mid-January was endorsed by Marconi Leal Junior, in his capacity as Acting Chief Sales and Marketing Officer on behalf of the company.  Leal has since been appointed as Chief Executive Officer in the Ministry of Public Utilities.  He has also been appointed to the B.T.L. board of directors.  During our interview with Chairman Lizarraga, we asked whether Leal’s appointment constitutes a conflict of interest since he too was signatory to the Channel Seven advertising contract and should there be a forensic investigation his name can be called to question.

“I notice that on the composition of the new board, you have C.E.O. Marconi Leal and when I look at the contract, it’s also signed by him in his capacity as the Chief Marketing Officer at that particular time.”

“The Channel Seven contract that is in question.  I notice that it’s Marconi Leal who signs on behalf of B.T.L. and Net Vasquez who signs on behalf of Channel Seven, Tropical Vision Ltd.  My question to you is, in terms of the composition of the new board, would it not be a conflict of interest for the former marketing lead to be seated on a board where if there is an investigation to be forthcoming, he presides on that board as well.  Does that not constitute some form of ethical concern?”

“To be honest with you, I was not aware of what you just presented.  But let me say this about the new board.  I was very concerned about the composition of a board and I wanted the board members, I suggested that the board members have experience in the field, legal experience, business acumen and I must say that I think the board is well-balanced.  We have with us C.E.O. Marconi Leal, of course, who has experience in the company and we have C.E.O. Urbina, who as well has a lot of experience in the telecom industry.  We have a young businessman and entrepreneur, Jermie Usher.  We have a senior counsel, Denise Courtenay, who has over twenty years experience in commercial and banking and company law. We have Michael Bowen who’s the director and C.E.O. of the Bowen Group of Companies.  So I think we have a very hardy board.”
